SHAREHOLDERS in a Perth-based company which operates a nationwide chain of caravan parks are being urged to fight moves to throw out all but one of its board members.

Aspen Group chairman Reg Gillard will plead with investors to retain himself, managing director Gavin Hawkins and director Terry Budge when investors vote at a crisis meeting on March 24.

The meeting will be held in The Silver Room at the Novotel Perth Langley Hotel beginning at 9am (WST).

The parent company of the successful Aspen Parks division was thrown into turmoil after shareholder and Perth-based wealth management business Entrust Funds Management requisitioned a meeting of shareholders with resolutions to remove the trio and reinstate former managing director Angelo Del Borrello, who was sacked last year.

Entrust also wants Richard Colless to be non-executive chairman and its funds management managing director David Franklyn to be added to the board.

But in a letter to shareholders, Mr Gillard urged caution over what he called the "hostile action".

He wrote: "I am deeply concerned that the passing of any of these resolutions could significantly destabilise the senior executive team.

"The board remains committed to improving shareholder value by executing its strategy for growth. We are already seeing positive results."

Entrust reportedly said it has been a long term supporter of the Aspen Group, and its underlying funds management business. It stressed its action was not about seeking control but about restoring value.

But in a joint statement, the three threatened board members said it appeared Entrust was  "opportunistically looking to gain control of the board and the company with a modest investment and without paying a premium".

"The Requisitioners in their statement assert that Aspen has "lost its way" since the departure of Mr Del Borrello, just seven months ago. The fact of the matter is that in a relatively short period of time, the company has made significant progress in executing the group's strategy," they said.

"We believe that the election of Mr Del Borrello, Mr Franklyn and Mr Colless as proposed by Entrust will not provide a better outcome for securityholders, and that the loss of corporate knowledge and expertise following any removal of the affected directors will in fact be damaging to the group.

"We do not see any rationale in the proposed reinstatement of Mr Del Borrello who had a sufficient opportunity under his previous leadership to achieve increased shareholder value."

They believed the Aspen Group was "very much on the right path" to generate securityholder value over the next year and beyond.

"Far from Aspen having lost its way, the group now has a clear corporate strategy, a well defined senior executive reporting structure, and a cohesive and disciplined management team. This team is demonstrating that it can achieve earnings growth and execute on key transaction," their statement said.

Aspen Parks was formed in 2004 and now owns a portfolio of 25 quality holiday and accommodation parks in Western Australia, South Australia, Victoria, New South Wales and Queensland, with a total asset value of over $280 million.

Aspen Group's share price fell from $2.73 to a low of 23c under Mr Del Borrello, who was the fifth-largest shareholder in Aspen, one of Western Australia's most go-ahead property companies.

 At the close of trading on Monday (Feb 28), shares stood at 46c.

THE Aspen Group has announced an after-tax operating profit of $16 million for the half-year ending December 31, 2010. It said that after accounting for significant non-cash items such as "revaluation and fair value adjustments", an after-tax profit of $7.7 million was recorded. This was well down on the previous corresponding period's $13 million.  The Aspen Parks division had been a "significant contributor", pouring $3 million into its parent company's income from its mining, accommodation and tourism parks, the group said in a statement.
